By accessing or using utterfocus.com, you agree to these Terms of Use. If you do not agree with these Terms, you should not use this website.

These Terms apply to the website and to general pre-contract interactions with UtterFocus. They do not by themselves create a client relationship, development contract, support obligation, partnership, employment relationship, agency relationship, or joint venture. Any paid work, implementation, audit, support, advisory service, or ongoing technical partnership requires a separate written proposal, order confirmation, statement of work, service agreement, or other written acceptance.

Where UtterFocus agrees to provide services, the final scope will be set out in a written proposal, service agreement, statement of work, invoice, or accepted project confirmation. That written scope controls the deliverables, assumptions, fees, payment milestones, revision limits, dependencies, support terms, intellectual-property transfer, hosting responsibilities, and handover obligations.

Examples of services that may require separate scope include:

• growth website design and development;

• Payload CMS or other CMS architecture;

• content modelling and migration;

• client portals, dashboards, directories, and operational platforms;

• forms, booking flows, payment flows, CRM integrations, and automation;

• AI-assisted workflow design and integration;

• hosting, deployment, monitoring, maintenance, and technical support;

• growth audits, website audits, infrastructure reviews, and technical advisory work.

Successful projects require timely participation from the client. Unless a written agreement says otherwise, clients are responsible for:

• providing accurate information, access, brand materials, content, credentials, approvals, and feedback when needed;

• ensuring they have rights to any content, images, data, fonts, software, brand assets, and third-party materials supplied to UtterFocus;

• reviewing deliverables carefully before approval, publication, launch, or handover;

• obtaining legal, privacy, accessibility, financial, regulatory, and sector-specific advice where required;

• maintaining subscriptions, licences, hosting accounts, domains, third-party tools, and platform accounts they own;

• making decisions within the agreed project timeline.

Delays in supplying information, access, content, approvals, or feedback may affect timelines, costs, delivery dates, and availability of the project team.

Prices shown on the website are indicative starting points or ranges unless clearly stated otherwise. Final fees depend on project complexity, number of templates, CMS requirements, integrations, content volume, automation needs, custom development, timeline pressure, support expectations, and operational risk.

Payment terms are defined in the relevant proposal, invoice, or agreement. Work may be paused where invoices are overdue or where required deposits, milestones, or access arrangements have not been completed. Taxes, VAT, payment-processing fees, currency charges, third-party subscriptions, hosting, licences, and external tool costs may be additional unless expressly included in writing.

Revisions are limited to the number and type defined in the project scope. A revision means refinement within the agreed direction; it does not include a new strategy, new page structure, new brand direction, new integration, new feature, or major change in business requirements unless agreed as a change request.

Changes outside scope may require a separate estimate, adjusted timeline, or new agreement. If a project is delayed by missing content, late approvals, unavailable stakeholders, unresolved technical access, third-party delays, or changed requirements, UtterFocus may revise the timeline and may charge for additional work or restart costs where applicable.

UtterFocus websites and systems may use third-party tools such as hosting providers, CMS platforms, payment processors, analytics tools, newsletter systems, CRM tools, booking tools, automation services, security tools, mapping services, video platforms, AI providers, and open-source packages.

Third-party services are governed by their own terms, privacy policies, availability, pricing, and technical limitations. UtterFocus is not responsible for outages, pricing changes, API changes, account suspensions, data loss, policy changes, or security incidents caused by third-party providers unless a written agreement states otherwise.

Unless a client agreement says otherwise, UtterFocus may reference completed work in its portfolio, case studies, proposals, social posts, and marketing materials, including the client or project name, public website link, screenshots of public pages, and a description of the work performed. Confidential details, private credentials, non-public business information, internal documents, and protected data will not be disclosed without permission.

If a project is under NDA or requires restricted public disclosure, that must be agreed in writing before publication or launch.

Information clearly shared as confidential during project discussions or delivery will be treated with reasonable care and used only for the relevant business purpose. Confidentiality obligations may be expanded in a separate agreement. Public information, independently developed information, information already known, or information lawfully received from another source is not treated as confidential unless required by law or written agreement.

Use of this website is also governed by the Privacy Policy and Cookie Policy If a client project involves processing personal data, the parties may need a data-processing agreement or project-specific privacy terms depending on the roles, data categories, systems, and jurisdictions involved.

The website is provided on an “as is” and “as available” basis. We do not guarantee that the website will always be uninterrupted, secure, error-free, or fully up to date.

To the maximum extent permitted by applicable law, UtterFocus is not liable for indirect, incidental, consequential, special, punitive, or business-interruption losses arising from use of the website, including loss of profit, loss of revenue, loss of data, loss of goodwill, or loss caused by third-party services.

Where a separate client agreement exists, that agreement may define its own dispute-resolution process, governing law, jurisdiction, payment terms, and liability provisions.
